Please read these Terms of Service ("Terms") carefully before using InvoiceBasket. By creating an account or using InvoiceBasket, you agree to these Terms and to the separate Privacy Policy and disclaimer, which you're asked to accept when you sign up. If you don't agree, please don't use InvoiceBasket.

1. What InvoiceBasket is. InvoiceBasket ("we," "us," "the Service") is a web application that helps sole traders create and send client invoices, and — on higher-tier plans — scan and categorise receipts/invoices, track income and expenses, and view a running profit dashboard. On the top-tier plan, you can also connect your own Stripe account so clients can pay your invoices online by card. InvoiceBasket does not calculate or file any tax return on your behalf, and does not provide tax, accounting, financial, or legal advice.

2. Who can use it. InvoiceBasket is intended for individuals operating as a sole trader in their own self-employment, tracking one trade. You must be at least 18 years old and able to enter into a binding contract to use the Service. You're responsible for making sure the information in your business profile is accurate — it's what appears on the invoices you send to your own clients.

3. Your account. You're responsible for keeping your login credentials secure and for all activity under your account. Tell us as soon as possible if you believe your account has been accessed without your permission.

4. Plans, pricing, and billing. InvoiceBasket is offered on annual subscription plans: Invoicing (invoice creation and sending only); Bookkeeping (everything in Invoicing, plus AI receipt/document scanning, manual transaction entry, the income/expense/profit dashboard, and Excel/PDF export); and Get Paid (everything in Bookkeeping, plus accepting online card payments on your invoices — see clause 5). Current prices are shown on the pricing page and at checkout, and are exclusive of VAT unless stated otherwise. Subscriptions are billed annually in advance through our payment processor, Stripe, and renew automatically at the then-current price unless you cancel before the renewal date. If you upgrade partway through your billing year, we'll charge the prorated difference immediately; if you downgrade, the change takes effect at your next renewal with no partial refund for the current period. You can cancel at any time from your account settings — cancelling stops future renewals but does not refund any part of the period you've already paid for. If a renewal payment fails, we may retry it, suspend access to paid features, or both, until payment succeeds or you cancel.

5. Getting paid online (Stripe Connect). If you're on the Get Paid plan, you can connect your own Stripe account through a Stripe-hosted onboarding flow. Once connected, client payments on your invoices are processed as a direct charge on your own Stripe account, not ours — funds settle to you, not to InvoiceBasket. You, not InvoiceBasket, are the merchant of record for those payments, and you're responsible for your own agreement with Stripe, Stripe's fees, any chargebacks or disputes raised by your clients, and complying with any rules that apply to accepting card payments in your business. InvoiceBasket does not hold, control, or have access to your funds, and is not a party to the payment between you and your client. Your use of Stripe is also governed by Stripe's own terms.

6. Your content and data. You keep ownership of the invoices, business information, receipts, and other data you upload or create ("your content"). You give us permission to store and process it as needed to run the Service. Documents and data are stored for as long as your account is active; if your subscription lapses or you close your account, we'll retain your content for 90 days afterward, after which it may be permanently deleted. We recommend keeping your own copies of anything you need for longer, particularly original receipts and invoices you may need to produce for a tax authority.

7. Acceptable use. You agree not to use InvoiceBasket for any trade other than your own single self-employment, or resell/sublicense access to it; use the Service for any unlawful purpose, or to send fraudulent, misleading, or infringing invoices; attempt to interfere with, disrupt, or gain unauthorised access to the Service or other users' accounts or data; or upload content that is unlawful, infringes someone else's rights, or that you don't have the right to submit. We may suspend or terminate accounts that breach this clause.

8. Suspension and termination. You can stop using InvoiceBasket and cancel your subscription at any time. We may suspend or terminate your access if your payment fails and isn't resolved within a reasonable period, you breach these Terms or the disclaimer, or we reasonably believe your use poses a risk to the Service or to other users. Where practical, we'll give you notice first.

9. Changes to the Service and these Terms. We may add, change, or remove features, and may update these Terms, from time to time. Where a change is material, we'll give you reasonable notice before it takes effect. Continuing to use InvoiceBasket after an update takes effect means you accept the updated Terms.

10. Limitation of liability. To the maximum extent permitted by law, InvoiceBasket is provided "as is," without warranties of any kind, and our total liability to you arising out of or relating to the Service, however caused, is limited to the total fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including lost profits or lost data. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, such as liability for fraud.

11. Indemnity. You agree to indemnify and hold us harmless from any claim, loss, or expense arising from your breach of these Terms, your misuse of the Service, or the content you upload or the invoices you send through it.

12. Governing law. These Terms are governed by the laws of Ireland, and any dispute relating to them will be subject to the exclusive jurisdiction of the courts of Ireland.
